Indemnification clauses

When you agree to cover the other party's losses — and when to narrow the wording.

What indemnity means

You may promise to defend and pay for certain claims against the client — for example if your deliverable infringes someone's IP or causes harm because of your negligence.

One-way vs mutual

Mutual indemnities are fairer when both parties supply materials or rely on each other's work. One-way indemnities that only protect the client deserve scrutiny.

Tying to your control

Indemnity should relate to your actions or deliverables, not the client's misuse of what you built or their unrelated business decisions.
