Governing law and jurisdiction

Which country's rules apply and where disputes are heard.

Governing law

This picks which country's laws interpret the contract. It matters for how clauses are read and enforced.

Jurisdiction

This picks which courts hear disputes. They are often the same country but not always.

Arbitration

Some contracts send disputes to a private arbitrator instead of court. That can be faster but harder to appeal.

Cross-border deals

If you are in Ireland and the client is elsewhere, pay attention to both governing law and where you would have to travel to defend a claim.
