Contract red flags

Warning signs that are worth negotiating or running past a solicitor.

Unlimited liability

If you are on the hook for all losses with no cap, one mistake could cost more than the whole project. A cap tied to fees paid is common.

Auto-renewal

Subscriptions that renew unless you opt out in a short window can trap you for another year. Check the notice period and whether the price can change on renewal.

Wide non-compete

Limits on future work should be reasonable in area, time, and type of work. Very broad bans may not hold up in court but can still lead to fights.

Changes without consent

If the other party can change terms on their own, especially on ongoing SaaS or supplier deals, read that section carefully.

Unclear sign-off

If payment depends on client satisfaction with no objective criteria, tie delivery to agreed milestones or define what acceptance means.
